CONTENT LICENSE AND CONTRIBUTOR AGREEMENT

This Content License and Contributor Agreement ("Agreement") is entered into and effective as of December 13, 2025 (the "Effective Date"), by and between:

Ralf Ritter ("Ralf"), whose address is set forth below his signature, and
Ashton Thomas ("Ashton"), operator of the website ExposedFaggots.com (the "Site").

Ralf and Ashton are collectively referred to herein as the "Parties," and individually as a "Party."

1. DEFINITIONS

Content: All photographs, videos, audio files, texts, metadata, and other materials transmitted by Ralf via email to Ashton or uploaded directly by Ralf onto the Site.
Post: Any webpage, article, gallery, video, or publication created by Ashton incorporating the Content.
Termination Fee: The amount payable by Ralf pursuant to Section 6 below.

2. GRANT OF LICENSE

2.1. License Grant. Ralf hereby irrevocably grants to Ashton an exclusive, perpetual, worldwide, royalty-free license (including the right to sublicense) to reproduce, adapt, distribute, publicly display, publicly perform, transmit, modify, edit, crop, watermark, combine with other materials, and create derivative works from the Content in all media now known or hereafter devised.

2.2. Sublicensing. Ashton is authorized to sublicense these rights to third parties, including hosting providers, content delivery networks, social media platforms, and advertisers as necessary for the normal operation and promotion of the Site.

3. EDITORIAL CONTROL AND OWNERSHIP

3.1. Editorial Control. Ashton shall have sole discretion over the creation, design, layout, placement, promotion, and retention of each Post.

3.2. Ownership of Posts. Ashton shall own exclusively all intellectual property rights in and to every Post created from the Content, including all compilations, layouts, captions, metadata, watermarks, thumbnails, and SEO components.

3.3. Moral Rights Waiver. To the fullest extent permitted by law, Ralf irrevocably waives any moral rights (including rights of attribution or integrity) he may have in the Content as used by Ashton.

4. CREDIT

Ashton shall acknowledge Ralf as a featured contributor on the Site in a manner determined solely by Ashton. Ralf shall receive no other compensation unless explicitly provided in Section 6 below.

5. TERM OF AGREEMENT

This Agreement and the license granted herein commence on the Effective Date and shall remain in effect unless terminated strictly in accordance with Section 6 below.

6. TERMINATION TERMS

6.1. Termination Fee Schedule.

During the first calendar month following the Effective Date, the Termination Fee shall be USD $10,000.
On the first day of each subsequent month, the Termination Fee shall decrease by USD $250.
The Termination Fee shall never decrease below USD $2,000.

6.2. Renewal Option. Once the Termination Fee reaches USD $2,000, Ralf may renew this Agreement by providing written notice to Ashton. Upon renewal:

The Termination Fee shall reset to USD $10,000.
Ashton shall, within a commercially reasonable timeframe, re-feature all relevant Posts prominently on the Site.

6.3. Termination Opportunity. Ralf may, once per calendar year, pay the current Termination Fee for the possibility of terminating the license. Payment shall be made in cleared funds to an account designated by Ashton.

6.4. Determination Procedure. Within 24 hours of receipt of the Termination Fee, Ashton shall grant Ralf one spin of an multiplayer decide wheel consisting of 20 equal segments—10 marked "Terminate" and 10 marked "Extend." The Parties agree as follows:

If the spin lands on "Terminate," the license and this Agreement immediately terminate, and Ashton will remove all Posts incorporating the Content within ten (10) business days.
If the spin lands on "Extend," the license continues, and the Termination Fee shall be retained by Ashton.
The outcome of the wheel spin is binding and final, with no right of refund or appeal.

7. PUBLIC DISCLOSURE AND GOVERNMENT DOCUMENTS

The Parties expressly acknowledge and agree that this Agreement may be made publicly available. Furthermore, any and all government-issued documents transmitted by Ralf to Ashton via email or uploaded by Ralf onto the Site will be incorporated into the Posts created by Ashton.

8. NO TAKEDOWN CLAIMS

Ralf expressly agrees not to issue or facilitate any takedown notices (including under the Digital Millennium Copyright Act or similar statutes) concerning the Content or any Post created from it. Violation of this provision constitutes a material breach, entitling Ashton to immediate injunctive relief and reimbursement of all related legal costs.

9. REPRESENTATIONS AND WARRANTIES

Ralf represents and warrants that:

He is at least eighteen (18) years of age and has the full authority to enter into this Agreement.
He exclusively owns or controls all rights to the Content.
The Content does not infringe any third-party rights or applicable laws.

10. INDEMNIFICATION

Ralf agrees to indemnify and hold harmless Ashton, and Ashton's affiliates, sublicensees, and representatives from any claims, damages, losses, or expenses (including reasonable legal fees) arising from (i) any breach of this Agreement by Ralf or (ii) any third-party claims regarding the Content.

11. LIMITATION OF LIABILITY

Neither Party shall be liable to the other for indirect, incidental, consequential, special, or punitive damages, except for liability arising under Section 10 (Indemnification).

12. GOVERNING LAW AND ARBITRATION

This Agreement shall be governed by and interpreted in accordance with the laws of Queensland, Australia. Any disputes arising under or relating to this Agreement shall be resolved exclusively through binding arbitration conducted in Brisbane, Queensland, under the Australian Centre for International Commercial Arbitration (ACICA) rules. The arbitration award shall be final and enforceable by any competent jurisdiction.
